Changes to your Membership

We are writing to inform you about certain changes to the membership structure of the Purchase Environmental Protective Association, Inc. ("PEPA") that recently became effective as part of Bylaw amendments adopted by PEPA's Board of Directors. In addition, this is a written notice of PEPA's 2012 Annual Membership Meeting to be held on Sunday, April 22, 2012 at 2:00 PM at the Neuberger Museum at 735 Anderson Hill Road, Purchase, NY.

PEPA is very fortunate to have a large number of Members. Our large membership is emblematic of PEPA's vitality and influence as an organization and of the community's strong interest in, and support of, PEPA's mission and activities.

Over the years, PEPA has treated everyone who has registered to be on our mailing list as a Member of PEPA, and each such Member has had the right to vote on matters requiring the vote of PEPA's membership. There has been no requirement for Members to contribute annual dues or re-register to maintain their Membership status in PEPA.

As the size of PEPA's membership has grown over the years, it has become increasingly difficult to establish a quorum at annual membership meetings. In order to address this problem, the PEPA Board of Directors determined that it was in the best interests of PEPA to revise PEPA's membership structure by splitting the current PEPA membership into two (2) classes, a voting class and a non-voting class, as follows:

Class A Members

Class A Members will have the right to vote on the election of PEPA's Board of Directors and other matters requiring the approval of PEPA's Membership in accordance with PEPA's Bylaws and the New York Not-for-Profit Corporation Law. Class A Members will be required to pay annual dues at a rate fixed by the Board each year. For 2012, the Board of Directors has set the annual dues amount for membership as a Class A Member at $100.00.[1]

Class B Members

Other than not having the right to vote at Membership meetings, Class B Members have the same rights as the Class A Members (e.g., the right to receive PEPA's newsletter, periodic alerts, and invitations to community events, and the right to attend membership meetings and other PEPA events). Class B Members are not required to pay annual duesto retain their Class B membership status.

The foregoing revisions to PEPA's membership structure were accomplished through an amendment of PEPA's Bylaws. A copy of PEPA's current Bylaws may be viewed on PEPA's website. In anticipation of the upcoming Annual Membership Meeting, it is very important that you notify PEPA which membership class you prefer. To do so, please follow the instructions outlined on our website's membership page.

Immediately after the conclusion of the Annual Meeting of the Members, there will be a social gathering of PEPA's membership followed by a guided tour of the Neuberger Museum's current exhibition VISIONARY SUGAR: WORKS BY KIKI SMITH from 3-3:30PM.
